By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 16 years old to use TandamConnect. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

3. Account Creation and Security

• You must provide accurate and complete information when creating your account.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorized access to your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Post false, misleading, or deceptive profile information or agent listings.
• Harass, abuse, threaten, or intimidate other users.
• Send unsolicited bulk messages, spam, or excessive recruiter pings.
• Scrape, crawl, or use automated means to access the Service without our written consent.
• Attempt to gain unauthorized access to the Service, other user accounts, or our systems.
• Interfere with or disrupt the Service or its infrastructure.
• Upload malicious code, viruses, or any harmful software.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Use the Service to distribute illegal content or violate third-party intellectual property rights.

We reserve the right to investigate and take appropriate action against anyone who violates these rules, including removing content, suspending accounts, and reporting to law enforcement.

5. Agent Listings

TandamConnect allows users to publish and showcase AI agent listings on the platform. By publishing an agent listing, you agree that:

• You are solely responsible for the agents you list, including their descriptions, capabilities, behavior, and compliance with applicable laws.
• Agent listings must be accurate and not misrepresent the agent's capabilities or functionality.
• You must have the right to list any agent you publish and must not infringe on third-party intellectual property.
• We do not endorse, verify, or guarantee the quality, safety, or legality of any agent listed on the platform.
• We may remove agent listings that violate these Terms or our Code of Conduct.

6. Recruiter Pings

TandamConnect provides a recruiter ping feature that allows recruiters to reach out to professionals. The following rules apply:

• Recruiter pings must be relevant, professional, and respectful.
• You may not send excessive or unsolicited pings. Abuse of the ping system may result in temporary or permanent restrictions.
• Recipients may block or report pings they consider inappropriate.
• Pings must not contain discriminatory, harassing, or misleading content.
• We reserve the right to limit the number of pings an account may send and to adjust these limits at any time.

7. User Content

"User Content" includes profile information, agent listings, messages, and any other content you submit to the Service.

• You retain ownership of your User Content.
• By posting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content solely as necessary to operate and improve the Service.
• You represent that you have all rights necessary to post your content and that it does not violate any third-party rights.
• We may remove User Content that violates these Terms at our discretion.

8. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are owned by TandamConnect and are protected by copyright, trademark, and other intellectual property laws.

• The TandamConnect name, logo, and branding are our trademarks. You may not use them without our prior written consent.
• You may not copy, modify, distribute, or create derivative works of the Service or its content without our permission.
• Feedback, suggestions, or ideas you submit about the Service may be used by us without any obligation to you.

9. Third-Party Services and Links

The Service may contain links to third-party websites or integrate with third-party services (e.g., GitHub). We are not responsible for the content, privacy practices, or availability of any third-party services. Your use of third-party services is governed by their respective terms and policies.

10. Fees and Payments

TandamConnect may offer free and paid tiers. If you subscribe to a paid plan:

• You agree to pay all applicable fees as described at the time of purchase.
• Fees are non-refundable except as required by law or as explicitly stated.
• We may change pricing with reasonable notice. Continued use after a price change constitutes acceptance.

11. Termination

• You may delete your account at any time through your account settings.
• We may suspend or terminate your account at our discretion if you violate these Terms, with or without notice.
• Upon termination, your right to use the Service ceases immediately. We will delete your personal data in accordance with our Privacy Policy.
• Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) will survive.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not warrant the accuracy or completeness of any information on the platform, including user profiles and agent listings. You use the Service at your own risk.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TANDAMCONNECT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

14. Indemnification

You agree to indemnify and hold harmless TandamConnect and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service, your User Content, your violation of these Terms, or your violation of any third-party rights.

15. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and Code of Conduct, constitute the entire agreement between you and TandamConnect regarding the Service.
